W dniu 25 lipca 2025 r. Sejm Rzeczypospolitej Polskiej uchwalił ustawę nowelizującą ustawę – Prawo restrukturyzacyjne, ustawę – Prawo upadłościowe oraz ustawę o Krajowym Rejestrze Zadłużonych. 5 sierpnia br. nowelizacja została podpisana przez Prezydenta Rzeczypospolitej Polskiej i – po upływie 14 dni od jej ogłoszenia w Dzienniku Ustaw – stanie się obowiązującym prawem.

Sejm Rzeczypospolitej Polskiej uchwalił ustawę nowelizującą ustawę – Prawo restrukturyzacyjne, ustawę – Prawo upadłościowe oraz ustawę o Krajowym Rejestrze Zadłużonych. 5 sierpnia br. nowelizacja została podpisana przez Prezydenta Rzeczypospolitej Polskiej i – po upływie 14 dni od jej ogłoszenia w Dzienniku Ustaw – stanie się obowiązującym prawem.

This amendment implements EU Directive 2019/1023 on preventive restructuring frameworks, commonly referred to as the ‘second chance directive’. Poland, as one of the last EU Member States, is implementing solutions aimed at increasing the effectiveness of restructuring proceedings and providing entrepreneurs with real instruments of protection against bankruptcy.

The new regulations introduce a number of significant changes that affect both the structure and course of restructuring proceedings, as well as the legal position of creditors and debtors. The most important solutions include new rules for accepting arrangements, the introduction of a mandatory creditor satisfaction test, the regulation of the participation of secured creditors, and the modification of the relationship between restructuring and bankruptcy proceedings.

In the next parts of our series of articles, we will discuss in detail the individual elements of the amendment, including the cross-class cram-down mechanism, the significance of the creditor satisfaction test, and the new rules for including secured creditors in the arrangement.

Last opportunity for restructuring under the old regulations!
